Legal Basis & Types

Under Section 435–458 of the Companies Act, 2017, and the Foreign Companies Regulations, 2018, foreign companies may register in Pakistan as:

  • Branch Office – execute specific contracts only
  • Liaison Office – promotional/technical, non-commercial
  • Wholly Owned Subsidiary (Private Limited) – fully controlled, commercial entity 

Pre-Registration Approvals

  • BOI Permission: Required for both branch and liaison offices .
  • Sectoral Approvals: Energy, telecom, financial sectors may also need Ministry or SBP clearance.
  • Security Clearance: Especially for Afghan or Indian nationals or security-sensitive businesses 

Name Reservation & Submission

Using SECP’s eservices portal, apply for name availability. The name must comply with the Companies Act—no duplicates, offensiveness, or government references.

Required Documents & Certification

Within 30 days of establishing a business place, submit:

  • Certified copies of charter, statute, MOA/AOA
  • Resolution/authority to open office
  • Company profile and directors’ CVs
  • Pakistani-resident authorized representative with POA

Per SECP’s 2023 SROs, document copies must be apostilled or notarized and authenticated by Pakistani consulate.

Forms 38–43 Explained

  • Form 38: Certified corporate charter
  • Form 39: Registered office address
  • Form 40: Directors and CEO details
  • Form 41: Principal officer in Pakistan
  • Form 42: Authorised service agent
